Masonic Library & Museum Association

By-laws of the MLMA

(as of October 3, 1999)

Article 1: Organization

The name of this organization is, "The Masonic Library and Museum Association: An International Organization of Librarians, Archivists, Curators, and Directors" and it can be abbreviated as, "MLMA."

Article 2: Purpose

The mission of the Masonic Library and Museum Association is to assist and support, through education, facilitation of communication, coordination of effort, and other means, those individuals charges with the collection, management, and preservation of the Masonic heritage.

Article 3: Officers

Section 1: Titles and Board of Directors. The officers of the MLMA are the President, Vice President, Secretary, Treasurer, and any other officers determined by the Members. All officers are members of the Board of Directors.

Section 2: Term of office.

The officers are elected every two years at the MLMA's annual meeting, and shall serve a term of two years. They may be reelected with no term limits. They shall perform the duties of their respective offices until their successors are installed.

Section 3: Duties.

President -- Preside over and direct all activities of the MLMA, and appoint any committees and set their duties and time to report.

Vice President -- Co-chair meetings, aid the President, and in the absence of the President preside at meetings.

Secretary -- Keep the minutes of meetings, handle correspondence, issue notices of meetings, and give copies of the Bylaws to Members who request them.

Treasurer -- Receive money paid to the MLMA, pay bills approved by the President, keep an accurate record of income and expenses, and present financial reports to the Board of Directors and the Membership.

Board of Directors -- Oversee the functions of the MLMA and determine any additional duties for any of the Officers.

Article 4: Meetings

Section 1: Annual Meeting. The Annual Meeting of the MLMA shall be held on a date and in a place decided by the Members.

Section 2: Special Meetings. The Board of Directors may call special meetings when needed, if reasonable notice is given to all Members.

Section 3: Quorum. A quorum at Membership meetings shall be seven or more Members.

Article 5: Membership

Section 1: Institutional Members. Institutional Members are organizations such as Grand Lodges or other Masonic entities which are considered by most United States Grand Lodges to be Masonically "regular," which maintain or support a Masonic library or museum, and which pay dues and are entitled to a number of votes in the MLMA according to the following schedule. (One or more representatives of an MLMA Institutional Member who are present at an MLMA meeting may cast the total number of votes to which that Institutional Member is entitled.)

Section 2: Regular Members. Regular Members are individual persons who express an interest in Masonic libraries or museums and who pay the prescribed dues for this category of membership. Regular Members are eligible to vote and hold office in the MLMA. (If a person is an MLMA Regular Member and also the representative of an Institutional Member, he or she may cast 1 vote as a Regular Member in addition to the number of votes to which the Institutional Member is entitled.)

Section 3: Affiliate Members. Affiliate Members are individual persons who express an interest in Masonic libraries or museums and who pay the prescribed dues for this category of membership. Affiliate Members are not eligible to vote or hold office in the MLMA, but receive copies of the MLMA Newsletter and Minutes of meetings.

Article 6: Amendments

These Bylaws may be amended by a 2/3 vote of the Members at any Membership meeting, if reasonable notice of the proposed amendment has been given previously to all Members.
